These terms govern your use of SanctumBoard. They are written to be read by the person who has to sign them — a company secretary or a treasurer, not a lawyer — so each clause is followed by a plain-English note where the clause deserves one. The clause is what binds; the note is there so you know what you are agreeing to.
1. Who these terms are with
SanctumBoard is provided by 1Pacent Pty Ltd (ABN 79 678 368 306), an Australian private company ("we", "us"). "You" means the organisation that subscribes — the company, association or trust whose board uses the service — and anyone you authorise to use it on that organisation's behalf.
If you are agreeing to these terms for an organisation, you confirm you are authorised to do so. Where a person signs up using an organisational email address, we treat the organisation as the customer.
2. What SanctumBoard is
SanctumBoard is a governance platform with an AI company secretary ("Pam") that drafts, prepares, chases and tracks — and a sealing mechanism by which a named human approves before anything becomes a record.
The seal is architectural, not a policy. Pam cannot create a record of a decision. Every consequential act waits for an approval carrying a person's name and the time they gave it. We could not change this by changing a setting, and neither can you — it is how the product is built.
SanctumBoard supports your governance. It does not provide legal advice, audit opinions, or compliance determinations, and it does not exercise judgement on your board's behalf. Your directors' duties remain entirely your directors'.
3. The free trial
New organisations may take one trial of 30 days. It includes the full product and 1,000 AI credits. There is no credit card, nothing to cancel, and nothing is charged at any point during or after it.
- One trial per organisation. We identify an organisation by its email domain, so several directors at the same organisation share one trial.
- Scheduled AI work — daily briefings and similar — is off during a trial. You can ask Pam anything you like; she simply does not run unattended.
- When the trial ends, the board becomes read-only.
Nothing is deleted when a trial ends. Every paper, minute, decision and register stays exactly where you left it and stays readable. What stops is adding anything new. If you subscribe later — a week later or a year later — you carry on from where you stopped.
We may decline or limit trials, including where an organisation has already had one. We will always tell you why, and you are welcome to contact us.
4. Subscriptions and payment
Subscriptions are monthly or annual, at the price shown when you subscribe. All prices are in Australian dollars and exclude GST, which is added at checkout where it applies.
- Monthly — paid in advance, renewing each month until you turn off renewal.
- Annual — paid in advance for the year, at a 10% discount to twelve monthly payments, renewing each year until you turn off renewal.
Every plan includes unlimited board members. You are employing a secretary, not licensing seats, and adding a director never changes your price.
Payments are processed by Stripe. We do not see or store your card details. If a payment fails we will tell you and give you a reasonable opportunity to fix it before anything is suspended.
We may change prices with 30 days' notice. A change never affects a term you have already paid for: an annual subscriber keeps the price they paid until their renewal date.
5. AI credits
Each plan includes a monthly allowance of AI credits. Credits are consumed when Pam does work — answering a question, drafting a paper, compiling a pack.
- Included monthly credits expire 90 days after they are granted. Credits you purchase as a pack do not expire.
- The oldest credits are always spent first, so an expiring monthly grant is used before a pack you paid for.
- When credits run out, Pam stops until your next renewal or until you buy more. Everything else in the product keeps working.
You are never charged for going over. There is no overage billing and no automatic top-up. Running out is a stop, not a bill — and we tell you when you reach 90% of your allowance so it is never a surprise.
Credits have no cash value, are not refundable, and cannot be transferred between organisations.
6. Cancelling
Turning off renewal — any time, no reason needed
You may turn off automatic renewal at any time, from within the product, with immediate effect. You keep full access for the rest of the term you have paid for, and you are not charged again.
Monthly subscriptions
Cancel at any time. Your subscription runs to the end of the current month and is not renewed. There is no cancellation fee.
Annual subscriptions
An annual subscription is a commitment for the year, in exchange for a 10% discount on the monthly price. If you cancel before the year is up:
- You keep full access until the end of the paid term.
- The subscription does not renew.
- We do not refund the unexpired portion.
In plain terms: if you take the annual discount and leave in month seven, you keep the product until month twelve and we do not refund months seven to twelve. The discount is what you were given in exchange for the commitment.
We think this is fair because you can try the entire product free for 30 days first — no card, no obligation, the full thing. Nobody reaches an annual commitment without having had a month to decide.
This does not apply where the service has failed you. If SanctumBoard is not fit for purpose, does not match what we described, or otherwise fails a consumer guarantee under the Australian Consumer Law, you have remedies that these terms cannot and do not limit — including a refund where the failure is a major one. See clause 12.
Changing plans
Upgrading takes effect immediately; we charge the difference, pro-rated.
Downgrading takes effect at your next renewal. If you are on an annual term and your board shrinks partway through, tell us — we will credit the unused value of your current term against the lower tier at renewal. A smaller board should not have to become a former customer.
Ending it from our side
We may suspend or end your subscription if you materially breach these terms, but only after telling you what the breach is and giving you 30 days to put it right — unless the breach is unlawful use, in which case we may act immediately. If we end your subscription for convenience, we refund the unexpired portion.
7. When a subscription ends
Your records stay readable and exportable for 90 days after any subscription ends, however it ends. You can sign in, read everything, and export it. We will not hold your governance records hostage to a renewal.
After 90 days we may delete the data, and we will email you before we do. If you ask us to delete it sooner, we will — subject to the records we are required to keep, described in clause 8.
8. Your records
Your board's content is yours. Papers, minutes, decisions, registers and everything else you put into SanctumBoard remain your property. We claim no ownership of them and no right to use them beyond operating the service for you.
We do not use your board's content to train AI models. It is not shared with other customers, and it is not sold to anybody, ever.
Board content is stored and processed in Australia, including AI inference. How we handle personal information, and the limited circumstances in which anything crosses a border, is set out in our Privacy Policy.
Two records cannot be edited or deleted, by us or by you, and you should know this before you rely on the product:
- The audit log and decision ledger are append-only. A correction is made by adding an entry, never by altering one. This is the property that makes a Governance Passport worth anything — a record that could be quietly changed proves nothing.
- The credit ledger is a financial record and is retained accordingly.
Where a person exercises a right to erasure, we revoke their access and remove their personal details from everywhere we can, while the fact that a named person approved a decision on a date remains — because that is the board's record of its own governance, not ours to erase.
9. Your responsibilities
- Keep your sign-in credentials and passkeys secure, and tell us promptly if you think an account has been compromised.
- Make sure the people you invite are entitled to see what you are giving them access to.
- Do not use SanctumBoard unlawfully, or to store content you have no right to store.
- Do not attempt to circumvent the sealing mechanism, the tenant isolation, or any usage limit.
- Read what you seal. A seal is your approval. Pam drafts; you decide; the record carries your name.
10. Availability and support
We aim for SanctumBoard to be available at all times, and we will give notice of planned maintenance where we reasonably can. We do not promise a specific uptime percentage except where a written service level agreement forms part of an Enterprise subscription.
Support is by email, during Australian business hours, on every plan.
11. What AI does and does not do
Pam drafts and prepares. She does not decide, and she cannot create a record without a named human approval.
- AI output is a draft until a person seals it, and is labelled as such throughout the product.
- Pam cites her sources, or says plainly that evidence is missing. She is built not to assert what she cannot support — but AI can still be wrong, and the seal is where you catch it.
- Obligations, duty maps and Board Health scores are governance support. They are not legal advice and not a determination that you comply with anything.
- A Governance Passport attests to process adherence and evidence integrity. It does not certify that your board is well-governed, and we make no such claim to any third party.
- You can turn AI off entirely, function by function, and SanctumBoard remains a complete governance system.
12. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where a term of this agreement would have that effect, it does not apply to that extent.
Our services come with guarantees that cannot be excluded. If there is a major failure, you are entitled to cancel and receive a refund of the unused portion, or to compensation for any other reasonably foreseeable loss. If the failure is not major, you are entitled to have the problem fixed within a reasonable time, and if it is not fixed, to cancel and receive a refund.
Where our liability may lawfully be limited, it is limited at our option to supplying the service again or paying the cost of having it supplied again.
13. Liability
To the extent permitted by law, and subject entirely to clause 12:
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Our total liability in any twelve-month period is limited to the fees you paid us in that period.
- We are not liable for decisions your board makes. SanctumBoard prepares the material and records the decision; the judgement is yours.
Neither party is liable for a failure caused by something outside its reasonable control, provided it tells the other and works to resolve it.
14. Changes to these terms
We may change these terms. If a change materially affects you, we will give 30 days' notice by email before it takes effect. If you do not accept it, you may cancel before it applies and we will refund the unexpired portion of your term — a change we make should never leave you worse off with no way out.
Every version of these terms is dated. We keep the previous ones and will send you any earlier version on request.
15. Governing law
These terms are governed by the laws of Victoria, Australia, and both parties submit to the non-exclusive jurisdiction of its courts.
If something goes wrong, please email us first — nearly everything is resolved that way, and we would rather fix it than argue about it.
